End User License Agreement

This Typeface License Agreement (the "Agreement") is entered into by and between:

Matyas Vedral Typefaces ("Licensor"), a company located in Prague, Czech Republic, and the end user ("Licensee") who agrees to the terms set forth in this Agreement by purchasing, downloading, or using the typeface software ("Font Software") developed and distributed by Licensor.

Definitions

• Font Software: Refers to the design, software, and digital files of the typeface made available by the Licensor for use under this Agreement.
• Licensee: The individual or entity who has purchased or is using the Font Software under this Agreement.
• Project: Any specific design or production work by the Licensee where the Font Software is used, including but not limited to digital and print media.

Grant of License

• Permitted Use: Upon payment of the applicable license fee, Licensor grants Licensee a non-exclusive, non-transferable, non-assignable, and limited license to install and use the Font Software.
• Number of Users: The license is limited to [X] users or computers, as defined at the time of purchase.
• Backup Copy: Licensee may make one copy of the Font Software for backup purposes only.
• Server Use: The use of Font Software on servers (e.g., for dynamic text rendering) requires a specific server license.

Restrictions on Use

• Unauthorized Distribution: Licensee shall not sell, lease, sublicense, distribute, or otherwise transfer the Font Software to any third party.
• Modification: Licensee may not modify, decompile, reverse engineer, or alter the Font Software or the designs contained therein without explicit written permission from Licensor.
• Commercial Products: Use of the Font Software in a product for sale (e.g., logos, merchandise, or physical goods) is allowed but must adhere to the number of users specified in the license.
• Resale/Redistribution: Licensee may not redistribute the Font Software or share it with any unlicensed individuals or organizations.
• Embedding in Documents: Embedding the Font Software in PDFs or other digital documents is permitted for printing and viewing purposes only, and the embedded fonts should not be extractable or editable.
• It is restricted to use the Font Software to promote hate, discrimination, or intolerance based on specific characteristics like race, religion, gender, or disability.
• Licensee is prohibited from using the Font Software in any context that promotes, supports, or depicts the killing or harming of animals, including but not limited to the production of materials for the meat industry, hunting, or animal testing.
• To use the Font Software in any political or religious context written consent of the designer is required.

Ownership

• Intellectual Property: Licensor retains all rights, title, and interest in the Font Software, including intellectual property rights. This Agreement does not transfer any rights of ownership of the Font Software to Licensee.
• Design Integrity: Licensee acknowledges the unique design and artistry of the Font Software. Any unauthorized alterations or derivative works created from the Font Software shall infringe Licensor’s intellectual property.

Termination

• Termination for Breach: Licensor may terminate this Agreement if Licensee breaches any of its terms, in which case Licensee must immediately cease using the Font Software and delete all copies.
• No Refunds: Termination of the Agreement for Licensee's breach will not entitle Licensee to a refund of any paid fees.

Limited Warranty

• Warranty: Licensor warrants that the Font Software will perform substantially in accordance with the documentation for 90 days following purchase, provided it is used in accordance with this Agreement.
• Disclaimer: Except as stated in section 6.1, the Font Software is provided "as is" without any express or implied warranties, including but not limited to fitness for a particular purpose, compatibility, or non-infringement.

Limitation of Liability

• In no event shall Licensor be liable to Licensee or any third party for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits or data, arising out of or in connection with this Agreement or the use of the Font Software, even if Licensor has been advised of the possibility of such damages.

Governing Law

• Jurisdiction: This Agreement is governed by and shall be construed in accordance with the laws of the Czech Republic. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts of the Czech Republic.

Miscellaneous

• Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes any previous agreements, representations, or understandings.
• Amendments: Licensor may update or amend this Agreement at any time, and Licensee's continued use of the Font Software will constitute acceptance of such changes.
• Severability: If any provision of this Agreement is deemed unenforceable, the remaining provisions will remain in full force and effect.
